These Terms of Use ("Terms") govern your use of www.terra-insight.com, including its articles, glossaries, reports, downloadable resources and calculators (together, the "Website"). The Website is operated by Terra Insight Pvt. Ltd. ("Terra Insight", "we", "us"), a company incorporated in India with its office at 6th Floor, Duo Harmony, Suranjan Das Road, Bangalore, Karnataka 560075, India. By using the Website, you agree to these Terms.

1. Our products are governed by a separate agreement

Access to TransactIG and TransactIQ is provided only under a written agreement signed between Terra Insight and the customer. That agreement governs the subscription, fees, service levels, data processing and liability for the products. If it conflicts with these Terms, the signed agreement prevails. These Terms apply only to the Website.

2. Website content is information, not advice

Articles, glossaries, reports and resources on the Website explain Indian tax, GST, payments and reconciliation practice in general terms. They are not tax, legal, accounting or investment advice, and they do not create a professional relationship. Statutes, rates, thresholds and regulator circulars change. Where an article states a "last verified" date, the content reflects our understanding on that date. Before acting on any of it, confirm the current position with a qualified professional, such as a chartered accountant or advocate, and against the primary source.

3. Calculators and tools

The calculators and tools produce illustrative, directional estimates from the inputs you provide and the assumptions stated on each tool. They are not a computation of your actual tax, duty, refund, penalty or liability, and should not be used as the sole basis for a filing, payment or business decision.

4. Acceptable use

You agree not to:

• use the Website in breach of any law in force in India, including the Information Technology Act 2000
• attempt unauthorised access to the Website, our systems or other users' data
• upload or transmit malicious code, or interfere with the Website's operation or security
• scrape or bulk-download Website content by automated means, other than through search-engine indexing
• submit false information, or another person's personal data without their authority, through Website forms

5. Intellectual property

The Website content, including text, frameworks, tables, calculators, downloadable templates, graphics and the Terra Insight, TransactIG and TransactIQ names and logos, is owned by or licensed to Terra Insight and protected under the Copyright Act 1957 and the Trade Marks Act 1999. You may read, print and share Website content for your own internal business use, and quote short extracts with attribution and a link. You may not republish, sell or create derivative products from it without our written permission. Downloadable templates may be used and adapted within your own organisation.

6. Third-party links and sources

The Website links to government portals, regulators and other third-party sites as sources. We do not control those sites and are not responsible for their content or availability.

7. Disclaimer

The Website is provided on an "as is" and "as available" basis. We take reasonable care to keep content accurate and current, but to the extent permitted by law we give no warranty that it is complete, accurate, current or fit for a particular purpose, or that the Website will be uninterrupted or error-free.

8. Limitation of liability

To the extent permitted by law, Terra Insight is not liable for any indirect, consequential or special loss, or for any loss of profit, revenue, data or goodwill, arising from your use of or reliance on the Website, its content or its tools. Nothing in these Terms excludes liability that cannot be excluded under Indian law.

9. Indemnity

You agree to indemnify Terra Insight against claims and losses arising from your breach of these Terms or your misuse of the Website.

10. Privacy

Personal data you provide through the Website is handled as described in our Privacy Policy.

11. Governing law and jurisdiction

These Terms are governed by the laws of India. The courts at Bengaluru, Karnataka have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Website.

12. Grievances

In accordance with the Information Technology Act 2000 and the rules made under it, complaints about Website content or its use may be sent to our Grievance Officer at legal@terra-insight.com. We will acknowledge your complaint and aim to resolve it within one month of receipt.

13. Changes

We may update these Terms from time to time. The "Last updated" date above shows the current version. Continued use of the Website after an update means you accept the revised Terms.

14. General

• Severability: if any provision is held unenforceable, the rest remain in effect.
• No waiver: our not enforcing a provision is not a waiver of it.
